We reserve the right to modify, suspend, or discontinue any aspect of our services, including features and availability, with reasonable notice. We shall not be liable for any modification, suspension, or discontinuance.

User Obligations and Conduct

As a user of our website and services, you agree that you will not:

  • The client receives a perpetual, non-exclusive, non-transferable license to use the final deliverables for their internal business purposes.
  • Full assignment of intellectual property rights in custom deliverables may be negotiated and specified in the Service Agreement.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our website without our prior written consent.

Payment Terms

Payment terms for services are specified in the applicable Service Agreement or Statement of Work. Unless otherwise stated in that agreement, the following general payment terms apply:

  • Invoices are issued on a net-30 basis unless a different schedule is specified in the Service Agreement.
  • Late payments accrue interest at the rate of 1.5 percent per month, or the maximum rate permitted by applicable law, whichever is lower.
  • All fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or similar taxes imposed on the services provided.
  • We reserve the right to suspend services if payment is more than thirty days past due, after providing written notice.

Limitation of Liability

To the fullest extent permitted by applicable law, Songyuan Wangqing Network Technology Co., Ltd, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, whether arising from contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Wang Qing during the twelve months immediately preceding the event giving rise to the claim, or one hundred US dollars if no fees have been paid.

Risk Allocation

The limitations of liability in this section reflect the allocation of risk between the parties. The fees charged for our services are based on these limitations, and our ability to provide services at current rates would be materially affected by a different allocation of risk.

Disclaimer of Warranties

Our website and services are provided on an AS IS and AS AVAILABLE basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Wang Qing expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Any warranty that our website or services will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.
  • Any warranty regarding the accuracy, completeness, or reliability of any information or content available through our website.
  • Any warranty arising from course of dealing, course of performance, or usage of trade.

We do not warrant that any errors or defects in our website or services will be corrected. You assume full responsibility and risk of loss resulting from your use of our website and services.

Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms or any applicable Service Agreement. Upon termination:

Termination of services under a Service Agreement is governed by the terms of that agreement. Either party may terminate a Service Agreement for material breach if the breaching party fails to cure such breach within thirty days of written notice.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts of Songyuan, Jilin Province, China.

If you access our website or services from outside China, you are responsible for compliance with local laws, if and to the extent local laws are applicable. We make no representation that our website or services are appropriate or available for use in locations outside China.

Dispute Resolution

We encourage amicable resolution of disputes. Before initiating any formal legal proceedings, you agree to first contact us at mail@wangqing.lat and attempt to resolve the dispute informally for a period of at least sixty days. If the dispute is not resolved through informal negotiation:

  • The dispute shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
  • The arbitration shall be conducted in Chinese or English, as mutually agreed, in Beijing, China.
  • The arbitration award shall be final and binding on both parties.
  • Each party shall bear its own costs and expenses, unless the arbitrator determines otherwise.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property or data security.

Indemnification

You agree to defend, indemnify, and hold harmless Songyuan Wangqing Network Technology Co., Ltd, its officers, directors, employees, agents, affiliates, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from:

  • Your use of and access to our website and services.
  • Your violation of any term of these Terms or any applicable Service Agreement.
  • Your violation of any third-party right, including intellectual property, privacy, or contractual rights.
  • Any claim that your data or content caused damage to a third party.
